These Terms & Conditions govern your access to and use of VillaNesta (“Service”), operated by Cookie Webster Co., Ltd. (“VillaNesta”, “we”, “our”, or “us”). By using the Service, you agree to these Terms.

1. Services

VillaNesta provides software tools for property and rental management, including:

• Property management
• Owner portals
• Booking management
• Expense tracking
• Statements and reporting
• Financial records
• Analytics and related features

VillaNesta is a software provider only and is not a party to agreements between users, owners, tenants, guests, or third parties.

2. User Accounts

You are responsible for:

• Maintaining account security.
• Protecting your passwords.
• All activities conducted through your account.
• Providing accurate information.

3. Subscription and Billing

• Subscriptions are billed monthly or annually.
• Fees are payable in advance.

Unless required by law:

• Subscription fees are non-refundable.
• Setup fees are non-refundable once work has begun.
• Custom development fees are non-refundable.
• Lack of usage does not entitle users to refunds.

• We may modify pricing with reasonable notice.
• Failure to pay may result in suspension or termination.

4. Cancellation

• You may cancel your subscription at any time.
• Cancellation prevents future billing but does not entitle you to refunds for the current billing period.
• Access remains available until the paid subscription period expires.

5. User Content

You retain ownership of all information uploaded to the platform.

You are solely responsible for all:

• Property information
• Owner records
• Financial records
• Images and documents
• Statements and reports

You agree not to upload unlawful, misleading, defamatory, fraudulent, or harmful content.

6. Acceptable Use

You agree not to:

• Use the Service for illegal purposes.
• Upload malicious code.
• Attempt unauthorized access.
• Reverse engineer or copy the platform.
• Interfere with system operation.
• Scrape or overload the Service.
• Violate intellectual property rights.

Violation may result in immediate suspension or termination.

7. Data Processing

You remain the data controller of any personal information stored in the Service.

VillaNesta acts solely as a data processor for the purpose of providing the Service.

Customer data may include:

• Names
• Email addresses
• Phone numbers
• Property information
• Booking information
• Financial records
• Owner and guest information

We may use trusted third-party providers including:

• Hosting providers
• Email providers
• Analytics services
• Payment processors

8. Data Backups

While VillaNesta performs reasonable backup procedures, customers remain responsible for maintaining their own copies of important information.

We do not guarantee against accidental loss, corruption, or deletion of data.

9. Beta Features

Experimental or beta features may be offered from time to time.

Such features are provided “as is” and may contain bugs or interruptions.

Use of beta features is entirely at your own risk.

10. Availability

We strive to maintain reliable service but do not guarantee uninterrupted or error-free operation.

Maintenance, outages, cyberattacks, and failures of third-party providers may affect availability.

11. Third-Party Services

The Service may integrate with third-party providers.

VillaNesta is not responsible for the availability, security, accuracy, or performance of third-party services.

12. Intellectual Property

VillaNesta and all related software, branding, designs, and content remain the property of Cookie Webster Co., Ltd.

No portion of the Service may be copied, reproduced, resold, or distributed without written permission.

13. No Warranty

The Service is provided on an “as is” and “as available” basis.

We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation.

14. Limitation of Liability

To the maximum extent permitted by law, VillaNesta shall not be liable for:

• Loss of profits
• Business interruption
• Loss of data
• Financial losses
• Lost bookings
• Errors in statements or reports
• Indirect or consequential damages

Our total liability shall never exceed the amount paid by the customer during the previous twelve (12) months.

15. Indemnification

You agree to indemnify and hold harmless VillaNesta, Cookie Webster Co., Ltd., directors, employees, and affiliates from claims, liabilities, damages, costs, and expenses arising from:

• Your use of the Service.
• Your uploaded content.
• Violations of these Terms.
• Disputes involving owners, tenants, guests, or third parties.

16. Force Majeure

VillaNesta shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including:

• Natural disasters
• Internet outages
• Cyberattacks
• Government actions
• Labor disputes
• Third-party provider failures

17. Termination

• We may suspend or terminate accounts that violate these Terms.
• Customers should export their information before cancellation.
• Following termination, data may be deleted after a reasonable retention period.

18. Changes

We may update these Terms from time to time.

Continued use of the Service constitutes acceptance of revised Terms.

19. Governing Law

These Terms shall be governed by the laws of Thailand.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Phuket, Thailand.
